What were the first animal to develop a brain and why?

Members of the Phylum Nematoda (worms) are the first animals to have a thing called brain.However, their "brain" or "Central Nervous System" are just comprised of a few ganglion on the cephalic (head) side of the worm, with a few nerves branching out of it.
